1. Scope and Provider
These Terms of Service apply to the use of the "ImmoNote" app and its associated cloud services, as well as to the purchase of paid subscriptions via this website. The provider is:

(hereinafter the "Provider")
"Users" are both businesses within the meaning of Section 14 of the German Civil Code (BGB) — in particular property managers, landlords and real estate agents — and consumers within the meaning of Section 13 BGB. Deviating terms and conditions of the user do not apply.
2. Subject Matter
ImmoNote is software for creating digital apartment handover protocols (iOS, Android, web). The basic version ("Free") is free of charge and stores data locally on the device. Paid subscriptions ("Premium", in future possibly "Enterprise") extend the range of functions, in particular cloud synchronization, email sending, multi-device use and cloud backups. The current range of functions results from the description on this website at the time of ordering.
3. Conclusion of Contract
The usage contract for the free basic version is concluded upon registration of an ImmoNote account. A paid subscription is concluded via the account area of this website: after selecting the plan and billing period, the user is redirected to the payment process of our payment service provider Stripe. The subscription contract is concluded upon completion of the payment process (clicking the order button that creates a payment obligation). The contract text is not stored separately; the contract data can be viewed in the account area and in the confirmation email or invoice.
4. Prices and Payment
The prices shown on the website at the time of ordering apply. Billing takes place monthly or annually in advance, depending on the selected billing period, via the payment service provider Stripe. The available payment methods are shown during the payment process. Invoices are provided electronically and can be accessed in the Stripe customer portal (available via the account area).
If the plan or billing period is changed during a current billing period, a pro-rata adjustment is made: additional amounts are due immediately, credit is offset against the next invoice. The new price is displayed before the change is confirmed.
5. Term, Renewal and Cancellation
Depending on the selected billing period, the subscription runs for one month or one year and automatically renews for the same period unless cancelled beforehand. Cancellation is possible at any time with effect from the end of the current billing period and is carried out conveniently in the account area of this website; all functions remain usable until then.
For consumers, the following applies in addition: after expiry of the original contract term of an annual subscription, the contract can be cancelled at any time with a notice period of no more than one month (Section 309 no. 9 BGB). Fees already paid for periods not used will be refunded proportionately in this case.
The right to extraordinary termination for good cause remains unaffected. A statutory cancellation button is additionally available at Cancel contracts here; cancellations can also be declared informally by email to info@immonote.app.
6. Right of Withdrawal for Consumers
Consumers have a statutory right of withdrawal. Details can be found in the cancellation policy.
7. Availability and Further Development
The Provider strives for high availability of the cloud services but does not owe uninterrupted availability. Maintenance work, further development and disruptions at third-party providers (e.g. hosting infrastructure) may lead to temporary restrictions. The Provider may further develop and modify the services provided the contractually agreed core functionality is maintained or the change is reasonable for the user (Section 327r BGB remains unaffected).
8. User Obligations
The user keeps their access data secret and protects it from access by third parties. The user is responsible for the content they record in ImmoNote (in particular data of tenants and other parties involved in protocols) and ensures that its processing is lawful. Insofar as the user processes personal data of third parties in the cloud services as a controller within the meaning of the GDPR, the Provider will provide a data processing agreement pursuant to Art. 28 GDPR upon request.
9. Liability
The Provider is liable without limitation for intent and gross negligence as well as for damages resulting from injury to life, body or health. In the case of simple negligence, the Provider is only liable for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical for the contract. Liability under the German Product Liability Act remains unaffected. Any further liability is excluded.
10. Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as it does not deprive them of the protection of mandatory provisions of the law of their country of habitual residence. Should individual provisions of these terms be invalid, the validity of the remaining provisions remains unaffected.
